AI FUNCTIONALITY POLICY
This document sets forth Schoox’s AI Functionality Policy (this “Policy“) referenced in Schoox’s General Terms of Service available at www.schoox.com (the “Terms“), and is incorporated into the Service Agreement between Schoox and the customer identified on the applicable Order (the “Customer“). In the event of a conflict with the Terms, this Policy will control with respect to matters within its scope.
1. Policy Scope and Acceptance.
Schoox makes certain AI Functionality available to its customers through the Schoox Learning Platform. By using such AI Functionality and/or enabling such use by its Authorized Users, Customer, on behalf of itself and its Authorized Users, consents to and agrees to comply with this Policy, effective as of the earlier of: (a) Customer’s acceptance of this Policy either within the Schoox Learning Platform or pursuant to the applicable Order, or (b) Customer’s or an Authorized User’s use of any AI Functionality. For the avoidance of doubt, the term “Services” includes Schoox’s provision of AI Functionality to Customer and its Authorized Users in accordance with the Service Agreement and this Policy.
If you do not agree with the terms of this Policy, you cannot use or enable Schoox’s AI Functionalities.

2. Defined Terms.
Capitalized terms used but not otherwise defined in this Policy have the meanings assigned in the Terms. As used herein, the following terms have the meanings set forth below:
- “AI Functionality” means any features, functionality and tools based on artificial intelligence, including machine learning, that are developed by Schoox or third-party technology providers and that are accessible within the Schoox Learning Platform, excluding any Customer Integrated Models.
- “Customer Integrated Models” means any features, functionality and tools based on artificial intelligence that are integrated into the Services by or on behalf of the Customer but that are not provided by Schoox.
- “Licensed Material” means pre-existing materials, including digital files, Licensed Content, data sets, templates, sample prompts, and other information or content provided by Schoox or a Licensed Content Provider to Customer in connection with the Services.
3. Use and Restrictions.
- Input and Output. Customer may provide input, including information, images, audio files, documents, data, communications, videos, graphics and other materials for processing by the AI Functionality (“Input“) and receive output generated and returned by the AI Functionality based on such Input (“Output“). Customer represents and warrants that it has obtained all necessary rights, approvals, and consents for its use of Input in connection with the AI Functionality. As between Schoox and Customer, and subject to Section 5 below regarding Licensed Material, Input and Output (collectively, “AI Content“) constitutes Customer Content as defined in the Terms, and all provisions governing Customer Content in the Terms or to which the Parties have otherwise expressly agreed apply to such AI Content.
- General Restrictions. Customer is responsible for all AI Content associated with its use of AI Functionality, which must at all times comply with Schoox’s Acceptable Use Policy available on Schoox’s website. In particular, Customer may not use any AI Functionality to create or generate any AI Content that is harmful or misleading, or that violates any applicable laws, regulations, or the rights of any third party. Customer may not use any Output relating to a person that could have a legal or materially adverse impact on such person, such as making credit, educational, employment, legal, medical, or other important decisions about them. In addition, Customer may not remove or alter any watermarks or content authenticity metadata that may be generated with the Output, or obscure the AI-generated nature of Output where such disclosure is required by applicable law, or otherwise attempt to mislead others about the origin of the Output. Schoox may, but is not obligated to, implement protective measures within the AI Functionality designed to automatically detect, filter, block, refuse, or otherwise prevent any prohibited Input or Output.
- No Personal Information. AI Content may not include any Personal Information of an identifiable individual.
- No High-Risk Use. The AI Functionality is intended for general assistive use and is not designed, marketed, or authorized for use as a “high-risk AI system” under applicable law. Customer may not use AI Functionality in any manner that would cause Schoox to be deemed a provider or operator of a high-risk AI system, including: (i) to provide any professional advice (legal, financial, health-related, or otherwise) to an Authorized User, (ii) for surveillance, monitoring, profiling, or any automated decision-making purposes that may significantly affect individual rights, (iii) for submitting or collecting Personal Information, (iv) for any “prohibited” or “high-risk” purpose under the Artificial Intelligence Act (Regulation (EU) 2024/1689); (v) for any use that involves safety-, time-, or mission-critical action, or (vi) any other illegal, deceptive, or high-risk purpose.
- No AI/ML Training. Customer’s use of AI Functionality is limited to Customer’s legitimate, internal business purposes only. Customer may not, and may not allow any third party to, use any AI Functionality or Output to create, train or test any other machine learning algorithms or artificial intelligence systems.
- Restrictions on Schoox’s Use of AI Content. Schoox will use and access AI Content only to the extent necessary to provide AI Functionality to Customer, comply with applicable laws and regulations, and enforce Schoox’s policies, in accordance with the Service Agreement. In the event Customer does not use any AI Functionality or enable such use by its Authorized Users, then Schoox will not use or access Customer Content in connection with any AI Functionality for any purposes, including to train or improve any AI/ML model.
4. Warranty Disclaimer.
- General Disclaimer. Customer acknowledges that Output is generated by artificial intelligence and that it may not always be accurate or flawless. Schoox does not warrant or guarantee the accuracy, completeness, reliability, security or appropriateness of any Output, or that Customer’s use of such Output does not infringe any third party’s rights. Customer is solely responsible for implementing appropriate human oversight and review of any Output to ensure its accuracy and appropriateness for Customer’s use and its compliance with any applicable laws, regulations, and other restrictions before using or sharing such Output. Customer should not rely on any Output as the sole source of any factual information or as a substitute for professional consultation or expert advice. Customer further acknowledges and agrees that Schoox has no obligation to monitor any AI Content, although Schoox may remove AI Content from the Schoox Learning Platform that it identifies or reasonably suspects violates this Policy. Schoox assumes no liability for any AI Content, including any omissions or errors contained in any Output.
- Similar Output. Notwithstanding any other provision to the contrary, Customer acknowledges and agrees that (i) AI Functionality may generate output for other Schoox customers or third-party end users that is the same or similar to Output generated for Customer, and (ii) Customer has no claim or right, title, or interest against Schoox or any other Schoox customer or third-party end user to the extent such claim relates to such same or similar output. Customer further acknowledges and agrees that because Output may not be unique to Customer, it may not qualify for protection under any Intellectual Property Rights. Customer assumes all risk associated with the non-uniqueness of Output.
- Business Impact. Any projected, estimated, or illustrative business impact, performance improvement, cost savings, revenue enhancement, efficiency gain, or other benefit associated with the AI Functionality (including any projections provided in marketing materials, sales discussions, or demonstrations) is provided to Customer for informational and planning purposes only. Such forward-looking estimates are based on assumptions, data inputs, and conditions that may vary and are inherently subject to uncertainty and factors outside of Schoox’s control, including but not limited to, data quality, implementation approach, operational conditions, market factors, and user adoption. SCHOOX MAKES NO WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THE ACHIEVEMENT OF ANY PROJECTED BUSINESS IMPACT OR RESULTS, AND EXPRESSLY DISCLAIMS ANY GUARANTEE THAT USE OF ANY AI FUNCTIONALITY WILL PRODUCE ANY PARTICULAR FINANCIAL, OPERATIONAL, OR OTHER OUTCOME. Customer acknowledges and agrees that actual results may vary from any estimates provided.
- Model Evolution and Output Variations. The AI Functionality utilizes dynamic, probabilistic models that may evolve over time due to algorithmic adjustments, third-party technology updates, security enhancements, compliance modifications, and other considerations. As a result, Output generated by the AI Functionality may vary over time for the same or similar Input. Schoox does not guarantee consistency of Output across different time periods or versions of the AI Functionality. Customer assumes all risk associated with any variations in Output resulting from model updates or evolution.
- Customer Integrated Models. For the avoidance of doubt, Schoox will have no obligation or liability of any kind with respect to Customer Integrated Models, including with respect to any output generated thereby and/or any integration, interoperability, or security issues arising from such Customer Integrated Models.
5. Licensed Material
- License and Use of Licensed Material. Schoox may make certain Licensed Material available to Customer for optional use in connection with the AI Functionality. Schoox, on behalf of itself and any applicable Licensed Content Provider, grants Customer a non-exclusive, non-transferable (except as permitted in the Terms), non-sublicensable, limited license to use Licensed Material during the Service Term solely in connection with Customer’s authorized use of the Services and AI Functionality in accordance with the Service Agreement. As between the Parties, Schoox and/or the Licensed Content Provider (as applicable) retains all rights, title, and interest, including all Intellectual Property Rights, in and to the Licensed Material and any derivatives, modifications, or portions thereof, subject only to the limited license expressly granted herein. Notwithstanding any other provision to the contrary, any Licensed Material incorporated with or into AI Content does not constitute, and is expressly excluded from, Customer Content.
- Licensed Material Warranty Disclaimer. Schoox makes no representation or warranty regarding the quality or appropriateness of any Licensed Material. Licensed Material is provided “AS IS” and Customer is responsible for evaluating it for quality and appropriateness prior to use. Any use of Licensed Material is at Customer’s sole discretion and risk.
6. Third-Party Technology
Schoox may use third-party technology to provide AI Functionality. By using AI Functionality or enabling such use by its Authorized Users, Customer directs and consents to the transfer of the applicable Input to such third-party technology providers, including, but not limited to, OpenAI and Amazon Web Services.
7. Violations.
Schoox reserves the right to investigate any suspected misuse of AI Functionality, and suspend, terminate, or otherwise modify Customer’s access to AI Functionality if such misuse is identified. In addition, a violation of this Policy by Customer or its Authorized Users is deemed a breach of the Service Agreement and may trigger the termination and suspension provisions set forth therein. Schoox further reserves the right to pursue any remedy available under applicable law or regulations to enforce this Policy and to recover any damages caused by a breach of this Policy by Customer or any of its Authorized User.
8. Indemnification.
In addition to Customer’s indemnification obligations under the Terms, Customer shall indemnify, defend, and hold Schoox harmless from any third-party claims arising out of misuse of any AI Functionality by Customer or any of its Authorized Users in violation of this Policy. Nothing in this Policy expands Schoox’s indemnification obligations or liability limits beyond those set forth in the Terms. For clarity, such indemnification obligations do not apply to a claim that any Output violates the Intellectual Property Rights of a third party.
9. Policy Updates.
Schoox may update this Policy from time to time in its discretion by posting the updated Policy to Schoox’s Website. Updates are effective immediately upon posting.
